 1. Introduction

      SFE Systems USA is a licensed wholesaler, with a valid Federal EIN
    number, and valid business licenses in the State of Alabama.  We are
    authorized to accept Amex, Optima, and Discover cards.  We are dealers
    for over 70 companies, many of whom advertise in ?omputer Shoppe? and
    other computer publications.
      SFE Systems USA operates a 24 hour On-line service.  Since we are in
    business, we must pay the commercial rates for registrations, etc.

2.  Our Position

      We do not advertise in the major computer magazines.  When we run nice
    blocked classified ads in major cities, our prices must be lower than the 
    advertised prices in commercial publications.  One column, 10 lines, costs
    a business anywhere from $25 - $100 for one Sunday Ad.  We must pay for
    all calls to our toll free number (1-800-743-IMAGE).

3.  The offer

      We will rely on our volume to make a profit.  Sysops may call us to get
    the BEST price on computer needs.  If we can't help, you aren't out a 
    dime.  If you want to run a local ad, you make the profit, and we will
    guarantee the price.  What is our profit?  Usually less than 10% of the
    quantity discounted wholesale price. What about shipping?  We ship to 
    you at cost.  That leaves you a large margin for your profit.

4.  Your chance

      Does your town have a weekend flea market, computer fair, or club fund-
    raiser?  Use our volume and established credit to set up a vendor's booth
    and reap the profits.  From mother boards to diskette holders, you won't
    believe the bargains floating through the dealer community.  We cannot
    disclose certain information due to the confidentiality clauses in our
    contracts and agreements, but we understand the on-line community.

5.  How to participate
     
      Sign the bottom of this form and return it to SFE Systems USA, P.O. Box
    4655, Huntsville, AL 35815.  No faxed copies please.  We must have an 
    original signature on file.  We will enter your information in our 
    business records. Participants must be a member of the SFE Systems group.
      When you need a price quote, fax your request to our offices at 1-800-
    743-IMAGE, any time, 24 hours a day.  We post the hottest deals on our
    system, SFE Systems USA, 14.4-1200 baud, 8,N,1, at (205) 650-0107.  When
    faxing, please indicate your fax reply or voice reply telephone number.
      If you do not have a fax or faxmodem, call us at 1-800-743-IMAGE.  This
    is a voice and fax line.  Faxes will automatically connect.

6.  Payments and billings

      All accounts other than credit card accounts must be paid by certified
    check or money order, or personal check if you can wait the 5 days
    required for it to clear.  No COD's.  We do pay a discount to the credit
    card companies, and it is factored into the cost of doing business. We
    accept Amex, Optima, and Discover.  MC and Visa coming soon.
      Purchase Orders accepted from established customers.  Normal 2%-10, net
    30 does not apply.  PO's are due upon receipt.  If your finance and 
    accounting pays once a month, PO's must be marked "priority", and
    processed immediately unless we make other arrangements.
      Business checks accepted upon completion of our "business check
    acceptance" data sheets.  A hold of 2 days applies if you are not listed
    in Dunn and Bradstreet, but thats still better than the 5 day wait for
    personal checks.  No hold for Fortune 1000 companies.

7.  Best Buys

      For the best quantity discounts, you may wish to gather an order from
    more than one source.  Quantity discounts apply.  Minimum quantity price
    break on most items is a quantity of 3.

8.  Satisfaction Guarantee

      Factory warranties apply to most items.  All items are new unless you
    request prices on demos, refurbished or close-outs.  

9.  Additional perks

      We will pass on to you the perks afforded to us, such as free color
    kits for printers, etc.  Maximize your profits!  

10. Examples

      One day my friend and co-worker was in need of a remote control for
    his Uniden satellite receiver.  His best price was $135. We sent in our
    corporate financials, and became a dealer for Uniden.  The remote control
    was priced at well under $100.  Of course he had to pay tax on the sale,
    but still received a bargain.

11. Why do we do this???

      Honestly, we can show a nice monthly sales figure in our books.  We
    don't show the profit ratio of some companies, but we are putting our
    company in the financial position to make it attractive to investors.
    Our sales force was trained in the Xerox Basic Sales course and the
    Xerox listening course.  We have also grown tired of the weeks on the
    road making sales calls.
     Primarily, we can free up some time to teach seminars in tele-
    communications, can install systems, and still see our families.
    We thank you, our customers, for the ability to do so.

12.  The signature block

    A.  I have read and understand the 11 paragraphs above, and wish to 
    participate in this program.  I, __________________________, in
    signing this agreement, understand that I am in no way obligated
    financially until such time that I, my company, and assigns, order
    from SFE Systems USA.  I, the undersigned, understand and accept that
    there is a restocking fee of 15% on refused orders, and that shipping
    and handling is non-refundable.

    B.  This agreement will be litigated in the State of Alabama in the event
    such may arise that the parties, i.e., the undersigned and SFE Systems
    USA require such litigation, and this agreement is then governed by
    the laws of the State of Alabama.

    C.  This agreement may be terminated by either party at any time.  SFE
    Systems USA retains the right to withdraw this offer at any time.

    D.  Past due accounts may be cause to terminate this agreement, and
    notice is hereby given that all past due accounts will be turned over 
    for collection, retaining the right to interpret non-payment as theft
    of goods and services and/or interstate theft using the US Mail and/or 
    telecommunications.

    E.  SFE Systems USA keeps business records as required by all forms
    of government, and the undersigned is thusly responsible for doing 
    the same, if applicable.

    F.  The undersigned is responsible for and requested to advise SFE
    Systems USA if applicable taxes must be collected on sales to your
    locality.
